Smart Online Trader S.A. (Pty) Ltd, Reg. No. 2026/199265/07, Manhattan Park Block 5, 16 Pieter Street, Highveld Techno Park, Centurion, 0169.
Please read these Terms carefully, especially the clauses in bold. They set out fees, limit SOT’s liability or place risk on you, and you are asked to confirm that you have read them when you sign your Enrolment Agreement. The key terms are summarised in Annexure A at the end.
1. Parties, Scope & Versions
1.1 These Terms and Conditions of Enrolment (“Terms”) govern every enrolment in a Smart Online Trader membership, tool or service between Smart Online Trader S.A. (Pty) Ltd (“SOT”, “we”, “us”) and the person or entity enrolling (“the Client”, “you”).
1.2 Each version of these Terms has a version number and effective date. The version in force on the day you enrol applies for the full term of that enrolment, unless you agree in writing to move to a later version. Earlier versions are available on request from enrol@smartonlinetrader.com.
1.3 Nothing in these Terms limits any right you have under the Consumer Protection Act, 68 of 2008 (CPA), the Electronic Communications and Transactions Act, 25 of 2002 (ECTA) or any other law that cannot be excluded.
2. One Agreement, Every Channel
2.1 These Terms apply in full, and in exactly the same way, whether you enrol online through a checkout, order form or payment link, by signing an Enrolment Agreement electronically or on paper, or by any other recorded acceptance SOT accepts.
2.2 Your Enrolment Agreement records your membership, price and payment arrangement. It incorporates these Terms, the Rewards and Rebate Programme Terms, the Community Rules and the Complaints Resolution process, all available on smartonlinetrader.com. Together, these form the “Agreement”.
2.3 If your Enrolment Agreement and these Terms conflict, the Enrolment Agreement prevails only on the product, the price and the payment arrangement. These Terms prevail on everything else.
2.4 SOT emails you a copy of your signed Enrolment Agreement and these Terms. You may ask for a printed copy at any time, free of charge.
2.5 If anything you were told is important to your decision to enrol, make sure it is written into your Enrolment Agreement before you sign. Representatives cannot change these Terms (clause 20).
3. Definitions
3.1 In these Terms:
- (a) “Activation Date” means the date SOT first gives you access to your membership.
- (b) “Agreement Amount” means the total price in your Enrolment Agreement after any discount.
- (c) “Business Day” means any day except a Saturday, Sunday or South African public holiday.
- (d) “DSTC” means Diversit-e Smart Trade College (Pty) Ltd, Reg. No. 2016/305525/07, VAT No. 4430282683.
- (e) “Membership Tier” means Nebula, Trader Essentials or Premium Performance Tracker, as described on smartonlinetrader.com and in your Enrolment Agreement.
- (f) “Payment Plan” means paying for a Membership Tier by monthly instalments over the period in your Enrolment Agreement, which may not exceed 24 months.
- (g) “Preferred Broker” means the licensed financial services provider (FSP) to which SOT may introduce you to open your own trading account.
- (h) “Remaining Balance” means the total of all Payment Plan instalments not yet due on the date a cancellation takes effect.
- (i) “The Hub” means the Smart Online Trader Client Portal and Community Hub at hub.smartonlinetrader.com and its mobile apps, where SOT hosts its courses, tools, mentoring sessions and live events.
- (j) “Third-Party Finance” means finance from CT-International Financiers or another credit provider under a separate credit agreement.
- (k) “Tools” means the Indicator Hub, the Strategy Suite and any other product SOT sells as a Tool.
- (l) “Upfront Payment” means paying the full Agreement Amount on or before the Activation Date by cash, EFT, card or Third-Party Finance.
4. Membership, Pricing & Rewards
4.1 What you enrol for. Your Membership Tier gives you the courses, mentoring, live sessions, tools and community access described for that tier, for the access period in your Enrolment Agreement. If your Payment Plan runs longer than 12 months, access and services continue for the full plan term.
4.2 How you can pay. You may pay upfront, on a Payment Plan, or by combining methods, for example a deposit by card, EFT or cash and the balance by debit order, monthly EFT or Third-Party Finance. Each part of your payment arrangement is governed by the clauses that apply to its payment method.
4.3 Payment Plans. A Payment Plan is a monthly membership. Each instalment is the fee for that month’s continued membership services. SOT may open the full curriculum from the Activation Date as a membership benefit; this is not credit. SOT charges no interest or fee for paying monthly. The total of the monthly instalments is higher than the Upfront Payment price because upfront Clients receive a discount for paying the full term in advance.
4.4 Upfront Payment. An upfront enrolment is a once-off purchase of your Membership Tier, delivered in full on the Activation Date, at a price that already includes the upfront discount.
4.5 End of a fixed term. For a fixed-term membership, SOT will notify you in writing 40 to 80 Business Days before the term ends. Unless you tell us otherwise, the membership then continues month to month on the terms in that notice.
4.6 Prices and currency. Prices include VAT where applicable. Card payments, online checkouts and electronically signed agreements are priced and charged in US Dollars (USD); at checkout, SOT’s payment processor may offer you the option to pay in South African Rand (ZAR) at the rate it displays. Payments in ZAR by debit order, EFT or cash are converted at the USD/ZAR mid-market rate on xe.com at the time you sign, and those ZAR amounts are fixed for the full term. Fees and refunds are calculated in the currency you pay in.
4.7 Programme milestones. Under the Rewards and Rebate Programme Terms:
- (a) Month 7: members who meet the programme requirements qualify for a USD 5,000 simulated prop firm evaluation.
- (b) Month 13: Rewards Rebate. Qualifying members receive a simulated trading credit equal to the net amount SOT received for their course. The credit itself cannot be withdrawn; 50% of verified net trading profits made with it may be withdrawn.
- (c) Milestones that have not vested lapse if the Agreement is cancelled. All milestone accounts are simulated trading environments.
4.8 Trading Account Reward (First Presentation Registration Bonus). If your Enrolment Agreement includes a Trading Account Reward, SOT pays that amount from its own funds into your personal bank account within 30 days after your agreed minimum deposit, or full upfront fee, is received. The period gives you time to become familiar with the tools first. The reward is intended solely to fund your own trading account with the Preferred Broker, and you must deposit the full amount there immediately. If you use it for anything else, funding your trading account remains your responsibility and SOT owes no further reward. The reward is not a refund or discount, is not paid if the Agreement is cancelled before the payment date, and is separate from the Month 13 Rewards Rebate.
4.9 Payment schedule. Your Enrolment Agreement records the Agreement Amount, any deposit and the outstanding balance. The invoices SOT issues under the Agreement record the instalment amounts and due dates, and form part of the Agreement. If an invoice does not match what was agreed, tell SOT in writing within 5 Business Days of receiving it; otherwise it is accepted as correct.
5. Payments & Collections
5.1 Payment methods. SOT accepts cash (at SOT’s offices, against a receipt), EFT (upfront or monthly), its online checkout (card payments, once-off or monthly), Netcash debit order and Third-Party Finance. Your payment method or methods are recorded in your Enrolment Agreement.
5.2 Agreement before invoice. SOT issues invoices, payment links and debit orders only after you have accepted the Agreement. An invoice sent before acceptance is a quotation only: it lapses if unpaid after 5 Business Days, and paying it means accepting the Agreement. Special prices quoted at a presentation are held for 48 hours.
5.3 Collections by DSTC. DSTC collects debit orders and finance payouts on behalf of SOT as its authorised collection agent. Debit orders appear on your bank statement as “Diversit-e”. Payment collected by DSTC settles your obligation to SOT for that amount.
5.4 Debit orders. A debit order is collected only under a mandate you give, either by approving the DebiCheck request your bank sends you after you sign (through your banking app, SMS or USSD), or by completing and signing the debit order section of your Enrolment Agreement. Your mandate authorises collection of the fixed ZAR instalment recorded in your Enrolment Agreement, from the account and on the date recorded there.
5.5 Debit orders: what stays the same. Stopping, cancelling or disputing a debit order does not cancel the Agreement or reduce what you owe; the Agreement can only be cancelled under clauses 6 to 9. If a collection is returned unpaid, SOT may present it again and will let you know. Reversing a collection made under your mandate, other than an unauthorised or incorrect debit, is a breach, and clause 22 applies.
5.6 Cards. By accepting the card authorisation, you allow SOT to charge your card for each amount due, including when the card is not present, and to retry a declined charge. A chargeback of a valid charge is a breach, and clause 22 applies. You keep your right to dispute an unauthorised charge or a charge for services not delivered.
5.7 Missed payments. If an amount stays unpaid 10 Business Days after SOT’s written reminder, SOT may suspend your access until your account is up to date. If two consecutive instalments are unpaid, SOT may cancel the Agreement on written notice, and clause 7.3 applies as if you had cancelled.
5.8 Late payment fee and collection costs. Amounts unpaid after their due date attract a once-off administration fee of R250 (or its USD equivalent). Collection, tracing and credit bureau listing fees are also for your account, to the extent the law allows. SOT charges no interest on overdue amounts, and total fees on an overdue amount will never exceed that amount. You consent to SOT reporting a default and your payment history to credit bureaus; SOT will give you 20 Business Days’ written notice before reporting a default.
5.9 Third-Party Finance. If you finance your enrolment, the credit provider pays the financed amount to DSTC on SOT’s behalf, and that payment settles your obligation to SOT for the financed amount. Your repayments are owed to the credit provider under its own credit agreement, to which the National Credit Act applies and to which SOT is not a party. SOT activates a financed membership once the finance is approved and you have accepted the loan agreement. Finance charges are not part of the Agreement Amount or any reward calculation.
5.10 Early settlement. You may pay your Remaining Balance in full at any time. No early settlement discount applies unless your Enrolment Agreement says so.
5.11 FICA. SOT may verify your identity under the Financial Intelligence Centre Act, 38 of 2001, and may hold activation until verification is complete.
6. Cooling-Off
6.1 Your statutory rights. If SOT made the first, unsolicited approach to you, you may cancel within 5 Business Days after signing, without reason or penalty, and SOT will refund all payments within 15 Business Days (CPA section 16). If ECTA section 44 applies to an online enrolment, you may cancel within 7 days without penalty, and SOT will refund all payments within 30 days.
6.2 Client-initiated enrolments. SOT does not make unsolicited approaches. It contacts only people who contacted SOT, opted in through an advertisement or form, or were referred and agreed to be contacted. An enrolment that follows your own enquiry, including any presentation you booked and an agreement concluded online or at SOT’s offices, is client-initiated. You confirm this in the Contact Origin Declaration in your Enrolment Agreement.
6.3 Immediate access. If you request immediate access to your membership once your payment is received, your services begin at your request, and the 7-day ECTA cooling-off period does not apply (ECTA section 42(2)(d)). Clause 6.4 then applies instead.
6.4 Standard cooling-off. Where clause 6.1 does not apply, you may cancel within 5 Business Days after signing. SOT will refund what you have paid, less a cancellation fee of 5% of the amount paid, covering bank, processing, onboarding and administration costs.
6.5 Finance and cooling-off. If you cancel under clause 6.1, any linked credit agreement is cancelled as the law provides, and SOT will notify the credit provider. If you cancel under clause 6.4, SOT refunds the credit provider directly.
6.6 On any cancellation, your access ends and you must delete any downloaded SOT material.
7. Cancelling a Monthly Payment Plan
7.1 After the cooling-off period, you may cancel a Payment Plan at any time by giving 20 Business Days’ written notice under clause 11. Cancellation takes effect at the end of the notice period.
7.2 All instalments that fall due before the cancellation takes effect remain payable.
7.3 A cancellation fee of 40% of the Remaining Balance is payable. The fee is reasonable because, from the Activation Date, you receive the full curriculum rather than monthly releases, SOT carries the cost of your mentoring and live sessions for the full term, most onboarding and support is delivered in the early months, and the monthly rate assumes the full term.
7.4 The fee is payable within 10 Business Days of SOT’s cancellation statement, or by your existing debit order or card on the next collection date. On request, SOT will explain how the fee relates to the services you received.
7.5 Your access ends when the cancellation takes effect. Rewards and milestones that have not vested lapse.
7.6 No cancellation fee applies if you cancel because SOT materially failed to deliver your membership and did not fix it within 10 Business Days of your written notice.
7.7 Example: on a 12-month plan at USD 97 a month, you give notice after 4 instalments. Instalment 5 falls due during the notice period and is payable. The Remaining Balance is 7 instalments of USD 97, or USD 679, and the cancellation fee is 40% of that, or USD 271.60.
8. Upfront & Financed Memberships
8.1 After the cooling-off period, an upfront enrolment cannot be cancelled for a refund, whether paid by cash, EFT, card or Third-Party Finance. Your full membership is delivered on the Activation Date, at a price that already includes the upfront discount.
8.2 If you financed your enrolment, your obligations to the credit provider continue in full, whether or not you keep using your membership. SOT cannot vary or cancel your credit agreement.
8.3 If a court or the National Consumer Tribunal finds that you may cancel an upfront enrolment under CPA section 14, you may do so on 20 Business Days’ notice. SOT may then keep the value of services supplied (at the monthly Payment Plan rate for each month or part month since activation) plus 40% of the balance that would have remained on the equivalent Payment Plan, and will refund any amount above that.
9. Tools
9.1 A monthly Tool subscription may be cancelled at any time on 30 days’ written notice. Fees for the notice period remain payable, access continues until it ends, and no partial refunds are made for a month already billed.
9.2 An Annual Tool Plan (12 months paid in advance for 14 months of access) cannot be cancelled for a refund after the cooling-off period. The 2 extra months are a discount for committing to the full term. If a court or the National Consumer Tribunal finds that the plan may be cancelled under CPA section 14, SOT will refund the amount paid less the standard monthly rate for each month or part month used.
10. Performance Lab Products
10.1 Subject to clause 6.1, Prop Firm Evaluation and Simulated Instant Funding fees are non-refundable once your evaluation or simulated account has been created and its login details issued, whether or not you have started trading.
10.2 Evaluations and simulated funded accounts operate in a simulated trading environment under the evaluation provider’s own terms.
11. How to Cancel & How Refunds Are Paid
11.1 Send every cancellation in writing to enrol@smartonlinetrader.com with the subject line “CANCELLATION REQUEST”, giving your full name, registered email address, membership and enrolment date. You may also hand-deliver a signed notice to SOT’s Centurion office against a dated receipt. No SOT representative may refuse to accept a cancellation.
11.2 A notice is received on the day it is delivered, or the next Business Day if delivered after 17:00 or on a non-Business Day. SOT will acknowledge it within 2 Business Days.
11.3 Within 5 Business Days of receiving your notice, SOT will send you a cancellation statement showing the effective date, any amounts still payable, any cancellation fee and any refund due.
11.4 Refunds under clause 6.1 are paid within the statutory periods. All other refunds are paid within 10 Business Days of the cancellation statement, to the original payment method where possible. Cash payments are refunded by EFT to an account in your name.
11.5 SOT may cancel the Agreement on 10 Business Days’ written notice if you commit a material breach and do not remedy it, including sharing your login or distributing SOT content. A cancellation for your breach is treated as a cancellation by you on the date of SOT’s notice.
12. Education, Not Advice
12.1 All SOT courses, mentoring, live sessions, market insights, analysis and Tools are for educational and informational purposes only.
12.2 SOT and its employees, consultants, sales representatives, affiliates and agents are not licensed Financial Services Providers. They do not give financial or investment advice, do not manage funds and do not recommend that you buy or sell any financial product.
12.3 Some coaching and live sessions may be presented by employees of the Preferred Broker who are licensed FSPs or their representatives. They act under the Preferred Broker’s own licence and terms, not on SOT’s behalf, and SOT is not responsible for any advice they give.
12.4 You are solely responsible for every trading decision and its outcome. Trading carries a high risk of loss. SOT does not promise or guarantee any profit, income, evaluation result or funded status, and past performance is not indicative of future results.
13. Preferred Broker, Third Parties & The Hub
13.1 Live trading must take place through a licensed broker. SOT may introduce you to its Preferred Broker, whose identity is disclosed at the time and may change. An introduction is not advice. You must read and accept the broker’s client agreement and risk disclosures yourself, its spreads, commissions and fees are for your account, and SOT may earn an introducing broker rebate based on your live trading volume, which does not change your trading terms.
13.2 SOT does not own the third-party trading platforms it recommends and is not liable for their availability or performance.
13.3 Third-party providers. SOT works with independent third parties, including the Preferred Broker, CT-International Financiers and other credit providers, the evaluation provider, DSTC as collection agent, and payment processors such as Stripe, PayFast and Netcash. Each has its own terms, which apply between you and that provider. It is your responsibility to read, understand and accept those terms before using their services. SOT is not a party to them and is not responsible for their decisions or services.
13.4 Hosting. The Hub is a cloud-based platform hosted by third parties. SOT is not liable for loss of data, downtime or interruptions outside its reasonable control, including provider failures, outages, load-shedding or cyberattacks. Keep your own copies of notes and trade journals.
13.5 The Hub. SOT delivers its courses, tools, mentoring and live events through The Hub, and your use of it is governed by the Community Rules. You are responsible for a compatible device, reliable internet and sufficient data at your own cost, for keeping the Hub apps updated, and for enabling push, in-app and email notifications. A session missed because notifications were off, or because of your own device or connection, is not a failure by SOT to deliver.
14. Client Funds
14.1 SOT does not accept money for online trading or investment, does not receive, hold or manage your trading funds, and does not trade on your behalf. All trading deposits and withdrawals take place directly between you and the Preferred Broker. The only payment SOT makes towards trading is the Trading Account Reward under clause 4.8, which is paid to you for deposit into your own trading account.
15. Ownership & Licence
15.1 The courses, content, tools and materials are owned by Diversit-e Smart Trade College (Pty) Ltd and licensed to Smart Online Trader S.A. (Pty) Ltd.
15.2 You enrol for a personal, non-exclusive and non-transferable right to access and use the courses, content, tools and services included in your Membership Tier, for the duration of your membership and subject to this Agreement.
15.3 You may not copy, record, share, resell or distribute any of it, or share your login details. Doing so is a material breach (clause 11.5) and may lead to civil and criminal liability.
15.4 Your access ends when your membership ends or is cancelled.
16. Liability
16.1 To the extent the law allows, SOT is not liable for any trading loss, loss of profit or indirect loss arising from the use of any course, Tool, platform or broker. SOT’s total liability to you under the Agreement is limited to the amount you paid SOT under it. This does not exclude liability for SOT’s gross negligence or any liability that cannot be excluded under the CPA.
16.2 SOT is not liable for failure or delay caused by events outside its reasonable control. It will notify affected Clients and restore service as soon as reasonably possible.
17. Complaints, Governing Law & General
17.1 Complaints are handled under SOT’s Complaints Resolution process. If you are not satisfied, you may refer the matter to the Consumer Goods and Services Ombud or the National Consumer Commission.
17.2 The Agreement is governed by South African law. The parties consent to the jurisdiction of the Magistrates’ Court for SOT’s address in Centurion, Gauteng, under section 45 of the Magistrates’ Courts Act, 32 of 1944, without limiting either party’s right to approach the High Court.
17.3 The physical and email addresses in your Enrolment Agreement are your chosen addresses for notices. An email is received on the next Business Day after sending unless a delivery failure is received. Tell SOT in writing if your details change.
17.4 An Agreement accepted online, signed electronically or signed on paper has the same force, and a copy or electronic record of it is as valid as the original.
17.5 New versions of these Terms apply only to enrolments concluded after their effective date.
17.6 You may not transfer the Agreement without SOT’s written consent. SOT may transfer its rights if your rights are not prejudiced.
17.7 If any provision is unenforceable, it is removed and the rest of the Agreement stands. A delay in enforcing a right is not a waiver of it.
17.8 The Agreement is subject to the CPA, ECTA, the National Credit Act (where Third-Party Finance applies), the Financial Advisory and Intermediary Services Act, FICA and the Protection of Personal Information Act. SOT processes personal information under its Privacy Policy.
17.9 SOT enrols only persons aged 18 and over.
18. Upgrades, Downgrades & Transfers
18.1 You may upgrade to a higher Membership Tier at any time. Amounts already paid are credited against the new tier, and a new Enrolment Agreement is concluded for the balance.
18.2 On a Payment Plan, you may downgrade once. Remaining instalments are recalculated at the lower tier’s rate, and a fee of 40% of the difference between the old and new Remaining Balance applies. Upfront enrolments cannot be downgraded for a refund.
18.3 Your membership is personal. With SOT’s written consent and FICA verification of the new holder, it may be transferred to another person free of charge. The new holder takes over the Agreement as it stands.
19. Pausing a Membership & Death
19.1 On a Payment Plan, you may apply in writing to pause your membership once, for up to 60 days, because of serious illness, hospitalisation or bereavement, with reasonable proof. No instalments are collected during an approved pause, access is suspended, and the term and collection dates move forward by the length of the pause.
19.2 If a Client dies, the Agreement ends on the date of death, no cancellation fee is payable, and the estate is liable only for instalments due before that date.
20. Representatives & Declarations
20.1 Setters, Presenters, agents and resellers sell SOT memberships on these Terms only. They may not change these Terms, grant a discount, extension or refund, promise any trading result, income or funded status, give financial advice, or ask for money for trading or investment.
20.2 A discount or special condition is valid only if it is recorded in your Enrolment Agreement. If you believe a representative made a promise that is not recorded, report it to enrol@smartonlinetrader.com before the cooling-off period ends.
20.3 Your Enrolment Agreement contains a Client declaration and a Presenter declaration confirming that no promises, guarantees, financial advice or requests for trading funds were made.
21. Records & Evidence
21.1 Calls, online presentations and live sessions may be recorded for quality, compliance and dispute resolution, and you will be told when a recording is made.
21.2 SOT’s system records of lead source, access granted, logins, content accessed, sessions attended and payments received are proof of those facts unless you show otherwise.
22. Chargebacks, Debit Order Reversals & Recovery
22.1 Reversing, disputing or charging back a payment made under the Agreement and a valid mandate or card authorisation is a material breach. A reversal does not cancel the Agreement or the debt.
22.2 On a reversal, SOT may suspend your access immediately, contest the reversal with your bank or card issuer using your signed Agreement and records, treat the reversed amount and any dispute fees as immediately due, send you a letter of demand giving 10 Business Days to pay, and if it remains unpaid, report the default to credit bureaus after 20 Business Days’ notice, refer the debt for collection, and cancel the Agreement under clause 11.5 with clause 7.3 applying.
22.3 If you are under financial pressure, contact SOT before stopping or reversing any payment. SOT will consider a payment arrangement or a pause under clause 19 in good faith.
22.4 Telling a bank or card issuer that a payment you authorised was unauthorised is a misrepresentation, and SOT may report it to the bank, its payment processor and the authorities.
22.5 This clause does not limit your right to dispute an unauthorised or incorrect transaction, or a charge for services SOT did not deliver. Please raise any payment dispute with SOT first, so it can be resolved within 5 Business Days.
